These Terms and Conditions ("Agreement") govern the provision of the social media management services by Tool Trades Media ("Provider") to the client. By engaging our Services, the Client agrees to be bound by these terms.

 

1. Services Provided: Provider agrees to manage and optimize the Client's social media presence on platforms agreed upon in the contract. Services may include content creation, posting, community engagement, and advertising management.

 

2. Contract Duration: The contract term is 12 months from the date of signing unless otherwise specified. Early termination may be subject to additional fees or penalties as outlined in this Agreement.

 

3. Payment Terms: Client agrees to pay Tool Trades Media the agreed-upon monthly fee for the duration of the contract. Payments are due on the [specify day] of each month. Late payments may incur interest charges or suspension of services.

 

4. Client Responsibilities: Client shall provide timely access to necessary information and materials required for effective the social media management. Client is responsible for providing accurate branding guidelines, content approvals, and any necessary permissions for third-party content.

 

5. Intellectual Property: Provider retains ownership of all original content created during the term of this Agreement, unless otherwise agreed upon in writing. Client grants Provider the right to use Client's branding and content for the purposes of providing Services.

 

6. Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.

7. Termination: Either party may terminate this Agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within [specify days] of written notice. Upon termination, Client shall pay any outstanding fees due for Services rendered up to the termination date.

 

8. Limitation of Liability: Provider shall not be liable for any indirect, consequential, or incidental damages arising from the provision of Services under this Agreement.

 

9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

 

10. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral. By agreeing, the parties agree to be bound by the terms of this Agreement.
